Goodwill-Easter Seals Minnesota SMS Terms and Conditions

Introduction
Goodwill-Easter Seals Minnesota’s VIP Loyalty Program (the “Program”) is a U.S.-based loyalty program offered at the sole discretion of Goodwill Industries, Inc., d/b/a Goodwill-Easter Seals Minnesota (GESMN). (“GESMN,” “we,” or “us”) and these Terms and Conditions (the “Terms”) govern your participation in the Program. By participating in the Program, you agree to be bound by these Terms.

We have the right to change or modify these Terms or terminate the Program at any time, for any reason, without prior notice, even though such changes may affect the value of points already accumulated, the value of the rewards and/or the time for redemption. If we change the Terms, we will give you notice by posting the new Terms here. Those changes will go into effect on the “Last Updated” date shown in the revised Terms.

These Terms contain an arbitration agreement that requires the use of arbitration on an individual basis to resolve disputes rather than jury or any other court proceedings, or class actions of any kind. The arbitration agreement is set forth in the “Dispute Resolution” section below.

Eligibility
To participate in the Program, you must be at least 18 years old and a legal resident of the United States. Membership is limited to individuals. No corporations, businesses, organizations, tax-exempt entities or other groups are eligible to participate. By enrolling and participating in the Program, you represent that you meet these eligibility requirements.

Joining the Program
If you meet the eligibility criteria above, you may become a Program member by creating an account at www.goodwillvip.com. No purchase is required to join the Program. Limit one account per person. You must provide and maintain true, accurate, current and complete information about yourself on the Program’s customer web portal, including mobile phone number, email address and more.

Earning Points
As a Program member, you will earn VIP Loyalty Program Points (“Points”) for purchases that you make at GESMN store locations, including regular and sale priced merchandise, but no Points will be earned on the purchase of gift cards, purchases at outlet locations or auction items from Shopgoodwill.com. Dollars spent on sales tax are also not eligible to earn Points. Purchases made with VIP Rewards as the form of payment are not eligible to earn Points. If a member returns or exchanges purchased items, the Points earned by those items will be deducted from the member's Point total.

In addition to earning Points for purchases, members can also earn Points for interactions with us, including but not limited to the following interactions:

  • Creating a Program account at www.goodwillvip.com and providing information about the member to earn additional points as determined by GESMN.
  • Participating in Limited Time promotions, by which members can earn additional Points.

GESMN may in its sole discretion, change, discontinue or add interactions. The number of Points earned per interaction may also be changed, with or without prior notification to members.

Existing GESMN VIP customers can start earning Points as soon as the Program is launched. New members will earn Points from the date they create a Program account online and verify their telephone number. Transactions or interactions prior to the date the Program account is created are not eligible to earn Points. Please allow approximately 72 hours for Points to be credited to your Program account after a purchase or interaction.

Expiration of Points
Points earned by Program members will not expire unless the Program account is dormant for more than [24 months]. Points are not transferable, have no cash value, and cannot be exchanged for cash. All qualifying transactions will clearly indicate the date on which Points were earned and total Points balance on the customer web portal.

Program Benefits
Program members will have access to these additional benefits:

  • Notice of VIP promotions: This benefit entitles eligible members to receive notifications regarding promotions offered exclusively to Program members. This benefit does not guarantee availability of merchandise at individual store locations.
  • Bonus Points: From time to time, GESMN may award eligible members bonus Points. Such Points are subject to the same terms as Points earned through a Program member's purchase of merchandise.

All benefits are subject to change, discontinuance, limitations, and substitutions by GESMN, at its discretion and at any time without notice.

Redeeming VIP Rewards
Points are converted into VIP Rewards at a rate of 33 points = $3.00. Points are only redeemable for rewards in increments of 33 points = $3 (e.g. 11 points are not redeemable for $1.00). See sample redemption chart:

After a member has accrued 33 Points, the Points will automatically be converted into 3 VIP Rewards/$3. At the time of checkout, a member will be informed of their balance and may elect to redeem VIP Rewards. If a Member elects to redeem VIP Rewards, the value of the VIP Rewards will be deducted from the total price of the Member's purchase, reducing the balance owed. Applicable sales tax will be charged before any VIP Rewards reductions.

Points may not be converted to or exchanged for cash. In the event of an exchange or return of merchandise purchased using VIP Rewards, the Points redeemed are converted back to VIP Rewards, not cash back or any form of currency.

Goodwill VIP promotions and rewards cannot be combined or used on prior purchases. Rewards and promotions are valid at Goodwill locations listed on gesmn.org, (not redeemable at Goodwill Outlets, Wholesale or shopgoodwill.com) and can be discontinued at any time without notice. No cash value, no rain checks.

Use of Account
Members are responsible for maintaining the confidentiality of their account and password, and are fully responsible for any activities that occur under their account or password.

The Program is for members' personal use only. The transfer, sale, or barter (or the attempted transfer, sale, or barter) of Points or Program benefits will result in cancellation of the member’s account and participation in the Program, including cancellation of any unused Points or benefits in GESMN’s sole discretion.

Privacy and Consent to Marketing
The information you provide as a Program member will be managed by GESMN as described in our Privacy Policy. By becoming a Program member, you consent to receive marketing communications from GESMN. You may unsubscribe from marketing communications at any time if you wish to no longer receive communications related to the Program. For information about how to unsubscribe, please visit our Privacy Policy at www.gesmn.org.

GESMN will never sell, trade or share Program members’ information with any other organization. Members may access support and Points balances at any time by emailing Feedback-noreply@gesmn.org.

Goodwill-Easter Seals Minnesota will not share any customer information and/or data collected by the short code with any partners or affiliates. Read our Privacy Policy, which is incorporated herein by reference. In the event of any conflict between these Terms and Conditions and the Privacy Policy, these Terms shall control. 

Cancellation, Changes to the Program
You may cancel your Program membership at any time by logging into your account, navigating to My Account and selecting the option to opt-out. We may cancel your Program membership at any time in our reasonable discretion, including, but not limited to, if we determine that you (a) are ineligible, (b) have not earned any Points within the past [24 months], (c) violated any Term or condition of the Program or any applicable law or regulation, or (d) engaged in any deception, forgery, fraud, or committed any other abuse of the Program. We may revoke some or all of your Points or benefits if we determine that you received them in error, due to fraud or deception, or in any non-authorized manner.

If you cancel or GESMN terminates your Program membership, you will lose all accumulated Points. If you cancel your Program membership, you may rejoin the Program at any time but previously earned and unused Points will not carry over to your new membership. Multiple member accounts cannot be merged to gain Points.

The decisions of GESMN will be final in all matters relating to the administration of the Program. GESMN reserves the right to change or cancel any aspect of the Program at any time. If we change Program Terms, we will give you notice by posting the revised Terms here. The changes will take effect on the “Last Updated” date shown in the Terms. By continuing to participate in the Program, you are agreeing to the revised Terms.

Disclaimer and Limitation of Liability
THE PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, GESMN DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, WITH RESPECT TO THE PROGRAM, INCLUDING THOSE RELATED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND THOSE ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE.

TO THE FULLEST EXTENT PERMITTED BY LAW, GESMN WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING FOR THE LOSS OF PROFIT, REVENUE, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM, HOWEVER CAUSED, AND UNDER WHATEVER CAUSE OF ACTION OR THEORY OF LIABILITY BROUGHT, INCLUDING UNDER ANY CONTRACT, NEGLIGENCE, OR OTHER TORT THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, GESMN’S TOTAL CUMULATIVE LIABILITY TO YOU OR ANY THIRD PARTY UNDER THESE TERMS, FROM ALL CAUSES OF ACTION AND ALL THEORIES OF LIABILITY, WILL BE LIMITED TO AND WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).

Venue and Choice of Law
These Terms are governed and interpreted pursuant to the laws of the State of Minnesota, United States of America, without reference to its provisions concerning conflicts of law.

Without limiting the arbitration agreement set forth below, you agree that any action of whatever nature arising from or relating to these Terms or the Program will be filed only in the state or federal courts located in Hennepin or Ramsey County in the State of Minnesota. You consent and submit to the personal jurisdiction of such courts for the purposes of any such action.

Dispute Resolution – Arbitration Agreement, Jury Trial Waiver, and Class Action Waiver
By enrolling in and participating in the Program, you agree that all disputes you may have with, or claims you may have against GESMN arising out of or connected in any way with (a) the Program, (b) these Terms, or (c) the determination of the scope or applicability of this agreement to arbitrate (each a “Claim”), will be resolved through binding and final arbitration (“Arbitration Agreement”) instead of through court proceedings, except that you may assert individual Claims in small claims court, if your Claims qualify. You agree that, by agreeing to these Terms, you and GESMN are each waiving the right to a trial by jury or to participate in a class action. Your rights will be determined by a neutral arbitrator, not a judge or jury. The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.

Notwithstanding the foregoing, this Arbitration Agreement shall not preclude either party from pursuing a court action for the sole purpose of obtaining a temporary restraining order or preliminary injunction in circumstances in which such relief is appropriate, provided that any other relief shall be pursued through an arbitration proceeding pursuant to this Arbitration Agreement.

You and GESMN agree that each may bring Claims against the other only on an individual basis and not as plaintiff or class member in any purported class or representative action or proceeding. Unless both you and GESMN agree otherwise, the arbitrator may not consolidate or join more than one person’s or party’s Claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding. Also, the arbitrator may award relief (including monetary, injunctive, and declaratory relief) only in favor of the individual party seeking relief and only to the extent necessary to provide relief necessitated by that party’s individual Claim(s).

Most concerns can be resolved quickly and to all parties’ satisfaction by emailing GESMN at Feedback-noreply@gesmn.org. If such efforts prove unsuccessful, a party who intends to seek arbitration must first send to the other, by certified mail, a written Notice of Dispute (“Notice”). The Notice to GESMN should be sent to 1270 Energy Lane, St. Paul, MN 55108 Attn: Chief Financial Officer. The Notice must (i) describe the nature and basis of the Claim or dispute and (ii) set forth the specific relief sought. If you and GESMN do not resolve the claim within sixty (60) calendar days after the Notice is received, you or GESMN may commence an arbitration proceeding. During the arbitration, the amount of any settlement offer made by GESMN or you shall not be disclosed to the arbitrator until after the arbitrator determines the amount, if any, to which you or GESMN is entitled.

Arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Association’s (“AAA”) rules and procedures, including the AAA’s Commercial Arbitration Rules (collectively, the “AAA Rules”), as modified by this Arbitration Agreement. If there is any inconsistency between any term of the AAA Rules and any term of this Arbitration Agreement, the applicable terms of this Arbitration Agreement will control unless the arbitrator determines that the application of the inconsistent Arbitration Agreement terms would not result in a fundamentally fair arbitration. All issues are for the arbitrator to decide, including, but not limited to, issues relating to the scope, enforceability, and arbitrability of this Arbitration Agreement. The arbitrator can award the same damages and relief on an individual basis that a court can award to an individual under these Terms. Decisions by the arbitrator are enforceable in court and may be overturned by a court only for very limited reasons. Unless you and GESMN agree otherwise, any arbitration hearings will take place in a reasonably convenient location for both parties with due consideration of their ability to travel and other pertinent circumstances. If the parties are unable to agree on a location, the determination shall be made by the AAA. If your claim is for $10,000 or less, GESMN agrees that you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic hearing or by an in-person hearing as established by the AAA Rules. If your claim exceeds $10,000, the right to a hearing will be determined by the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based.

Payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules, unless otherwise provided in this Arbitration Agreement. Any payment of attorneys’ fees will be governed by the AAA Rules.

All aspects of the arbitration proceeding, and any ruling, decision, or award by the arbitrator, will be strictly confidential for the benefit of all parties.

If a court or the arbitrator decides that any term or provision of this Arbitration Agreement is invalid or unenforceable, the parties agree to replace such term or provision with a term or provision that is valid and enforceable and that comes closest to expressing the intention of the invalid or unenforceable term or provision, and this Arbitration Agreement shall be enforceable as so modified. The remainder of these Terms will continue to apply.

Electronic Communications (including E-Sign Disclosure and Consent)
You agree and consent to receive electronically all communications, agreements, disclosures, notices and documents (collectively “Communications”) that we provide in connection with the Program and your Program account. We may at times be required to provide you with Communications in written form, which you agree to receive electronically instead of in paper form, including by sending via electronic mail to the email address you provide to us, or by posting notice or communicating with you on our website. Communications include these Terms and any and all other agreements or policies to which you must agree in order to be a Program member, including updates to those agreements and policies and any other communication related to your Program membership.

It is your responsibility to keep your email address accurate and up to date so that GESMN can communicate with you.

All Communications sent in electronic format will be considered to be in “writing and are considered received by you upon posting through the website, via push notifications to your device, or sending to you via electronic email or SMS, regardless of whether you have accessed that communication.

Consent to Contact Mobile Number
By voluntarily providing your mobile phone number to GESMN, you confirm you are authorized to provide that number to GESMN and agree that GESMN may contact you at that number. If you provide a mobile number, you expressly agree that GESMN may contact you using SMS or MMS messages at that phone number, and you hereby consent to receiving such communications for transactional, informational, and operational purposes.

Mobile device must be enabled to receive SMS messages and promotions. Consent to receive marketing text messages is not required as a condition of purchasing any goods or services. Read full Terms and Conditions for the Goodwill VIP rewards program here.
